By accessing or using westone.care, you confirm that you have read, understood and agree to be bound by the terms of this Licence. If you do not agree, you must stop using the Website immediately.

This Licence governs the terms on which West One Care Ltd grants you permission to access and use the content and materials on the website at westone.care (the "Website"). It is distinct from, and should be read alongside, our Terms and Conditions, Privacy Policy and Cookie Policy.

In this Licence Agreement, the following terms have the meanings set out below:

"Website"The website located at westone.care, including all pages, sub-pages, content, features and functionality available through that domain.
"Content"All text, graphics, photographs, logos, icons, audio, video, data, software, design, layout, documentation and any other material published on or made available through the Website.
"Intellectual Property Rights"All patents, copyright, trade marks, trade names, service marks, design rights, database rights, domain names, moral rights, know-how and all other intellectual property rights, whether registered or unregistered, in any part of the world.
"Permitted Purpose"Personal, non-commercial use of the Website for the purpose of obtaining information about West One Care's services, making referral or placement enquiries, applying for employment, or any other purpose expressly authorised in writing by the Licensor.
"User Submission"Any content, information, data, text or material that you submit to or through the Website, including enquiry forms, job applications and contact messages.

Acceptance of Licence

By accessing, browsing, downloading content from, or otherwise using the Website in any way, you agree to be legally bound by the terms of this Licence Agreement. This Licence takes effect from the moment you first access the Website.

If you are accessing the Website on behalf of an organisation or legal entity, you represent and warrant that you have the authority to bind that entity to this Licence, and that the entity accepts these terms in full.

  • Royalty-free — no fee is charged for access to the Website under this Licence

Permitted Use

Professional users: Local Authorities, social workers, healthcare professionals and other organisations accessing the Website for the purpose of making referrals or placement enquiries are permitted to do so under this Licence, subject to the terms herein. All formal placements remain subject to a separate written agreement with West One Care Ltd.

Restrictions

Except as expressly permitted under this Licence, you must not:

Reproduction & Distribution

  • Copy, reproduce, republish, upload, post, transmit, distribute or make available to the public any Content from the Website without the prior written consent of the Licensor
  • Create derivative works based on any part of the Website or its Content
  • Resell, sublicence or otherwise exploit the Website or its Content for any commercial purpose
  • Frame, scrape, mirror or incorporate any part of the Website into another website or application without prior written permission

Technical Interference

  • Attempt to gain unauthorised access to any part of the Website, its underlying systems, servers or databases
  • Introduce viruses, malware, Trojan horses, worms, logic bombs or any other harmful or disruptive material
  • Use any automated tools, bots, scrapers, crawlers or spiders to extract data from the Website without express written permission
  • Attack or disrupt the Website through denial-of-service attacks or any other method

Unlawful & Harmful Use

  • Use the Website in any way that violates any applicable local, national or international law or regulation

  • Use the Website to impersonate any person or organisation, or to misrepresent your identity or affiliation
  • Submit any User Submission that is unlawful, defamatory, threatening, abusive, harassing, obscene, or otherwise objectionable
  • Use the Website in any way that could harm, exploit or endanger children or vulnerable people

Ownership & Intellectual Property Rights

The Website and all of its Content are owned by or licensed to the Licensor. All Intellectual Property Rights in and to the Website and its Content are and shall remain the exclusive property of West One Care Ltd or its licensors.

Nothing in this Licence transfers or assigns any Intellectual Property Rights in the Website or its Content to you. Your use of the Website under this Licence does not give you any right, title or interest in any Content beyond the limited licence expressly granted in Section 3.

The structure, layout, design and visual appearance of the Website are protected by copyright and may not be reproduced without the prior written consent of the Licensor.

Trade Marks

The following are trade marks of West One Care Ltd and may not be used without the prior written consent of the Licensor:

  • The name "West One Care"
  • The West One Care logo and all associated graphic devices
  • The domain name westone.care
  • Any other marks, trading names or logos displayed on the Website and identified as belonging to West One Care Ltd

Nothing in this Licence grants you any right to use any trade mark, service mark, trade name or logo of West One Care Ltd or any third party whose marks appear on the Website.

Any use of the West One Care trade marks requires our express prior written consent. Please contact info@westone.care for any such requests.

User Submissions

Where the Website allows you to submit content — such as via a contact form, referral form or job application — the following terms apply to your User Submissions:

  • You warrant that any User Submission is accurate, complete and not misleading
  • You warrant that you have the right to submit the content and that it does not infringe any third-party rights
  • You warrant that your User Submission does not contain anything unlawful, harmful, abusive or objectionable
  • You grant the Licensor a non-exclusive, royalty-free licence to use, store and process your User Submission for the purpose for which it was submitted
  • You acknowledge that User Submissions may be shared with relevant third parties where necessary for the purpose for which they were submitted

We reserve the right to remove or refuse to publish any User Submission that we reasonably consider to be in breach of these terms or applicable law.

  • Loss arising from reliance on any Content on the Website
  • Loss arising from any interruption, suspension, delay or failure of the Website
  • Loss arising from any unauthorised access to or alteration of your User Submissions

Nothing in this Licence excludes or limits the Licensor's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be lawfully excluded under English law.

Indemnity

You agree to indemnify, defend and hold harmless West One Care Ltd and its directors, officers, employees, agents and contractors from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising from or in connection with:

  • Your access to or use of the Website in breach of this Licence
  • Any User Submission you make that causes harm or gives rise to a claim by a third party
  • Your violation of any applicable law or regulation in connection with your use of the Website
  • Your infringement of any Intellectual Property Rights or other rights of any third party
  • Any false or misleading statement made by you in connection with your use of the Website

Termination

Termination by the Licensor

The Licensor may suspend or terminate this Licence and your access to the Website at any time, with or without notice, if:

  • You breach any provision of this Licence Agreement
  • You use the Website in a manner that is unlawful, harmful or damaging to the Licensor or any third party
  • The Licensor decides to discontinue or significantly modify the Website
  • Required to do so by law, regulation or order of a competent authority

Termination by You

You may terminate this Licence at any time by ceasing all use of the Website and deleting any downloaded Content from your devices.

Effect of Termination

Upon termination of this Licence for any reason:

  • All rights granted to you under this Licence will immediately cease
  • You must immediately stop all use of the Website and its Content
  • You must destroy or delete any copies of Content you have downloaded or retained
  • Provisions that by their nature should survive termination shall continue in full force and effect, including Sections 6, 10, 11, 12 and 18

Severability

If any provision of this Licence Agreement is found to be invalid, illegal or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from this Agreement. The remaining provisions shall continue in full force and effect.

This Licence Agreement, together with the Terms and Conditions, Privacy Policy and Cookie Policy, constitutes the entire agreement between you and West One Care Ltd in relation to your use of the Website, superseding all prior agreements and understandings.

Governing Law & Jurisdiction

This Licence Agreement shall be governed by and construed in accordance with the laws of England and Wales. You and West One Care Ltd irrevocably agree to submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute arising out of or in connection with this Licence.

If you are accessing the Website from outside the United Kingdom, you are responsible for ensuring your use complies with the laws of your local jurisdiction.
